1. Business Scope & Account Types

North Valley Supplies Limited is an Irish importer and distributor of certified disposable gloves, protective apparel, and workplace hygiene consumables. We supply both retail customers (B2C) and commercial/wholesale clients (B2B).

  • Consumer (B2C): Individual buyers purchasing for private use.
  • Trade/Business Account (B2B): Registered businesses purchasing in bulk, pallet, or commercial container quantities. Business users warrant that purchases are made solely for commercial, trade, or institutional purposes.

2. Product Orders & Acceptance

All orders placed via our website, email, or telephone are subject to acceptance and availability.

  • Order Acknowledgment: Upon placing an order, you will receive an automated email acknowledging receipt. This does not constitute formal acceptance of your order.
  • Contract Formation: A binding legal contract is formed only when we dispatch the goods and send you a formal Order Dispatch Confirmation.
  • Right to Cancel Orders: We reserve the right to decline or cancel any order prior to dispatch for reasons including, but not limited to: product stock unavailability, errors in pricing or product descriptions, suspected fraud, or failed payment authorization.

3. Pricing, Taxes & Payment Terms

Prices listed on our website are shown in Euros (€). Prices may be displayed exclusive or inclusive of Value Added Tax (VAT), depending on whether you are viewing retail or wholesale portal pricing.

  • Pricing Errors: While we strive to ensure all pricing details are accurate, errors may occur. If we discover a pricing error on goods you ordered, we will inform you as soon as possible and offer the option to reconfirm your order at the correct price or cancel it.
  • VAT & Tax Compliance: Applicable Irish VAT will be added at checkout where required by law. Business customers supplying a valid EU VAT number may be eligible for intra-EU reverse charge mechanisms where applicable.
  • Payment Methods: We accept payment via major Credit/Debit Cards, PayPal, and Electronic Funds Transfer (EFT / Bank Transfer). Orders will not be dispatched until funds have cleared in full.
  • B2B Credit Accounts: Approved commercial trade accounts operating on credit terms (e.g., Net 30 days) must settle invoices within the agreed terms. We reserve the right to charge late payment interest on overdue balances under EU (Late Payment in Commercial Transactions) Regulations.

4. Shipping, Delivery & Pallet Logistics

We provide nationwide dispatch across Ireland and international delivery options.

Risk of loss or damage to goods transfers to the buyer upon physical delivery of the items to the designated delivery address.

5. Cancellation, Returns & Refund Policy

Returns and cancellations are handled in accordance with our dedicated Return & Refund Policy, summarized below:

A. Consumer Statutory Rights (B2C)

Under EU Consumer Rights Regulations, retail consumers have the right to cancel within 14 days of receiving goods without giving a reason. Returned items must be unopened, unused, and in original packaging.

B. Hygiene & Safety Sealed Goods Exception

Due to health protection and hygiene requirements, unsealed or opened packaging of disposable gloves, face masks, or protective apparel cannot be returned or refunded, unless proven to have a manufacturing defect.

C. Return Shipping Costs

  • Standard Returns / Change of Mind: The buyer is fully responsible for arranging and paying return shipping costs.
  • Damaged or Incorrect Goods: If items arrive damaged, defective, or incorrect, North Valley Supplies Limited will pay for return postage or arrange courier collection.

D. Business-to-Business Returns (B2B)

Statutory 14-day consumer cooling-off periods do not apply to commercial B2B orders. B2B returns are subject to prior written approval and may incur a 15% restocking fee.

6. Product Quality, Specifications & Warranties

Our disposable gloves and protective products comply with relevant European Standards (including EN 455, EN 374, and EN 1186 where specified on the product technical data sheet).

  • Technical Specifications: Technical Data Sheets (TDS) and EU Declarations of Conformity are available upon request.
  • Intended Use: Buyers are responsible for ensuring that chosen products are suitable for their intended commercial, clinical, or industrial applications.

7. Limitation of Liability

To the fullest extent permitted by Irish law:

  • North Valley Supplies Limited shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit, loss of business, or operational downtime arising out of or in connection with the purchase or use of our products.
  • Our total aggregate liability for any claim arising out of an order shall not exceed the total purchase price paid by the customer for the specific goods giving rise to the claim.
  • Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any legal duty that cannot be excluded under Irish law.

8. Intellectual Property

All content on our website—including text, graphics, logos, product images, digital downloads, and branding—is the property of North Valley Supplies Limited or its content suppliers and is protected by Irish and international copyright and trademark laws.

9. Force Majeure

We shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (Force Majeure events), including natural disasters, shipping container delays, port congestion, strikes, industrial action, global supply chain disruptions, or government restrictions.

10. Governing Law & Jurisdiction

These Terms & Conditions, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of Ireland. You agree that the courts of Ireland shall have exclusive jurisdiction to settle any dispute.
